Die eigenen Aktien sollen im Wege eines beschleunigten Platzierungsverfahrens ( Accelerated Bookbuilding ) im Rahmen einer prospektfreien Privatplatzierung qualifizierten Investoren in Deutschland und im europäischen Ausland zum Erwerb angeboten werden.
Der Veräußerungspreis wird unmittelbar nach Abschluss des Platzierungsverfahrens festgelegt und darf den Börsenpreis von Aktien der Gesellschaft gleicher Ausstattung zum Zeitpunkt der Veräußerung nicht wesentlich unterschreiten.
Die Adler Modemärkte AG beabsichtigt, den ihr aus der Veräußerung zufließenden Verkaufserlös im Rahmen ihrer Mittelfriststrategie unter anderem bei attraktiven Gelegenheiten für gezielte Akquisitionen zu verwenden.
